Applicability

An order between Aleksandra Civirc-Heim consutING and the client/customer is deemed to be concluded upon confirmation of the order by Aleksandra Civirc-Heim consutING (any automatic booking confirmation from the appointment booking tool is not a binding order confirmation).

Aleksandra Civirc-Heim consutING shall provide the services specified in the order confirmation (e.g. coaching, training, (business) consulting or concept development). Aleksandra Civirc-Heim consutING shall provide the service alone or in cooperation with qualified specialists selected by Aleksandra Civirc-Heim consutING (network partners). The provisions of § 611 BGB shall apply.

Order execution

The client/customer shall provide Aleksandra Civirc-Heim consutING with all information required for the preparation and execution of the order (obligation to cooperate). Aleksandra Civirc-Heim consutING shall be entitled to use the results and knowledge acquired from the order in the context of other consulting or implementation activities, provided that any individual reference to the order is avoided.

Data carriers are scanned for viruses by Aleksandra Civirc-Heim consutING using up-to-date virus scanners. Nevertheless, Aleksandra Civirc-Heim consutING accepts no liability for any damage resulting from the transfer of computer viruses.

Aleksandra Civirc-Heim consutING undertakes to provide advice and carry out projects with the customary care; Aleksandra Civirc-Heim consutING cannot ultimately guarantee the realization of the objectives and purposes pursued by the client.

Terms of payment

The fee for the services requested and the treatment of additional costs (e.g. travel expenses, work equipment, communication) shall be agreed individually between Aleksandra-Civirc-Heim consutING and the client/customer during order clarification and accepted by both parties in the order confirmation. The fee and additional costs are subject to the applicable statutory value added tax.

Invoices shall be issued in accordance with the individual order confirmation/fee agreement. Unless otherwise agreed in the order, payment is due 14 days after receipt without deduction. Advance payments at the start of the project must be concluded on the basis of a separate fee agreement. In the event of late payment, Aleksandra-Civirc-Heim consutING reserves the right, after issuing a written reminder, to suspend ongoing projects without this giving rise to any claims against Aleksandra-Civirc-Heim consutING, for example for missed deadlines.

Order cancellation

In the event of circumstances for which Aleksandra-Civirc-Heim consutING is not responsible, such as temporary impediments to performance due to illness, accident or force majeure, Aleksandra-Civirc-Heim consutING shall be entitled, to the exclusion of any liability for damages, to subsequently perform the services owed by Aleksandra-Civirc-Heim consutING on a new date to be specified or to commission specialists to perform the services. Aleksandra-Civirc-Heim consutING is obliged to notify the client/customer immediately of the impediment to performance that has occurred. Aleksandra-Civirc-Heim consutING shall not be liable for damages and expenses incurred in spite of timely notification. The right of Aleksandra-Civirc-Heim consutING to set a new date shall lapse no later than six weeks after the impediment to performance has been removed. After expiry of this period, the order shall be finally deemed to have been completed and any advance payments made by the client/customer shall be refunded. In the event of such impediments to performance for which Aleksandra-Civirc-Heim consutING is responsible, then the statutory provisions shall apply.

Any other agreements between the parties shall be conclusively set out in the order confirmation. Any deviating provisions must be made in writing. This shall also apply to agreements that waive or restrict the written form clause.

Duty of confidentiality

Aleksandra-Civirc-Heim consutING undertakes to maintain confidentiality towards third parties about all business and operational matters that become known to Aleksandra-Civirc-Heim consutING during the course of the work, as well as about work results, observations and experiences, even after termination of the contractual relationship. This shall also apply to network partners of Aleksandra-Civirc-Heim consutING.

Place of performance and jurisdiction

The place of performance for all respective obligations is Frankfurt am Main. The place of jurisdiction shall be Frankfurt am Main, insofar as is legally permissible, irrespective of the amount in dispute.

Invalidity of clauses

Should any of the above conditions be or become invalid, this shall not affect the validity of the other contractual conditions. The invalid clause shall be replaced by a provision that takes into account the legal and statutory requirements and that comes closest to the economic purpose pursued by the invalid clause.
